We are looking for a talented associate to join a well-established law firm in Houston, Texas. The ideal candidate will bring expertise in transactions and mergers and acquisitions (M&A), with a proven ability to provide strategic legal counsel to clients across various industries. Responsibilities:

  • Provide comprehensive legal advice on mergers and acquisitions, including transaction structuring, negotiation, and execution.
  • Manage diverse corporate transactional matters, such as drafting and reviewing contracts, forming joint ventures, and preparing agreements.
  • Assist clients with corporate restructuring and formation to ensure compliance and operational efficiency.
  • Collaborate with internal teams and external clients to streamline transaction processes and address legal concerns.
  • Conduct thorough legal research and analysis to support client objectives and deliver tailored solutions.
  • Maintain high standards of professionalism while fostering strong client relationships.
  • Monitor industry trends and regulatory changes to advise clients on potential impacts.
  • Contribute to team-oriented projects and initiatives, ensuring effective communication and collaboration.
  • Uphold ethical and legal standards throughout all aspects of client representation.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school and an active license to practice law in Texas.
  • A minimum of 48 years of experience in corporate transactions and mergers & acquisitions within a law firm setting.
  • Exceptional drafting, negotiation, and analytical skills.
  • Ability to manage multiple projects and deadlines effectively in a fast-paced environment.
  • Strong interpersonal and communication skills to build and maintain client relationships.
  • Detail-oriented with a commitment to delivering high-quality legal services.
  • Familiarity with civil litigation processes and deposition procedures.
  • Self-driven and motivated to succeed in a performance-based environment.
